Corporate Governance

The Board of Vunani Limited is committed to governance processes based on integrity, transparency
Independence and accountability and recognizes that this is a developing process that serves the stakeholders
alike.

It is furthermore committed to the principles of good corporate governance as set out in the King Report on Corporate Governance for South Africa (2009) (King III), the JSE Listings Requirements and the Companies Act, 71 of 2008

In line with the King III's "apply or explain" approach, the directors will continue to state the extent to which the company applies good corporate governance principles to create and sustain value for stakeholders over the short, medium and long-term and to explain any instances of non-compliance

The group's corporate philosophy is consistent with the principles of King II in that:

  • The roles of the Chairman and Chief Executive Officer are separate
  • An independent Non-Executive Director is elected as Chairman; and
  • The remuneration and audit/risk committees are chaired by Independent Non-Executive Directors who act independently.

Board Committees
The board has appointed the following sub committees to assist it in the performance of its duties:

  • Audit and Risk Committee;
  • Remuneration committee;
  • Investment Committee; and
  • Social and Ethics Committee.
